This Payment Agreement (hereinafter referred to as the “Agreement”) is entered into on the “Effective Date”, by and between the "Client", at the "Client's Address", and Valhalla MS, at the address of 92-18 Rockaway Beach Blvd (hereinafter referred to as the “Service Provider”) (collectively referred to as the “Parties”).

In order to facilitate timely payments, we have established the following invoicing and payment terms:

Invoicing

1. The Client will be invoiced by the Service Provider on the 2nd of each month.
2. The total invoice amount will be due upon receipt of the invoice.

Itemized Billing Reports:

1. See attached HIPAA Business Associate Agreement
2. Partially HIPAA compliant reports can be provided upon request.

Keeping Records:

1. The Client is expected to maintain their own records of monthly processing to avoid payment delays.

Grace Period and Late Payments:

1. A one-week "grace period" will be provided for payments, starting from the date the invoice is received.
2. After the grace period, interest will start accruing at a rate of 1% per day for each day that the payment is late.

Payments Options:

1. CC, ACH, or check.
2. Authorization forms attached.

Billing Responsibility:

1. The provided billing information will be responsible for outstanding payments.
